EXPLANATORY NOTE
This Registration Statement on Form S-8 is being filed for the purpose of registering an additional 8,000,000 shares of common stock, $0.00001 par value per share (Common Stock), of Caesars Entertainment, Inc. (the Registrant) to be issued under the Caesars Entertainment, Inc. Second Amended & Restated 2015 Equity Incentive Plan which was adopted by the Registrants Board of Directors on April 24, 2024 and approved by the Registrants stockholders on June 11, 2024. In accordance with Instruction E to Form S-8, the contents of the previous Registration Statements on Form S-8 (File Nos. 333-232336 and 333-245051) are hereby incorporated by reference.
